1. THE PARTIES AND THE SERVICE

1.1 Agreement. These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User,” “You”) and Rikton LLC (“Rikton”) (together with its subsidiaries, brands, and affiliates, “the Company,” “We,” “Us”).

1.2 The Website. These Terms govern your access to and use of the website located at www.nyc.condos (the “Site”) and all associated data, tools, and lead generation services provided through the Site (collectively, the “Service”).

1.3 Ownership Disclosure. You acknowledge and agree that NYC Condos is a brand name and digital property wholly owned and operated by Rikton. All software, algorithms, data visualizations, and proprietary analytics are the exclusive property of Rikton.

2. NO REAL ESTATE BROKERAGE RELATIONSHIP

2.1 Not a Brokerage. Rikton is a technology, marketing, and data analytics firm, not a real estate brokerage. The Company does not provide legal, financial, or real estate advice. No attorney-client or real estate agent-client relationship is created by your use of the Site.

2.2 No Licensing. Rikton is not a licensed real estate broker or salesperson. We do not represent buyers, sellers, landlords, or tenants in any capacity.

2.3 No Participation in Transactions. We do not negotiate contracts, hold escrow funds, or facilitate the closing of any real estate transactions. Any deal you enter into is solely between you and the other party.

3. DATA ACCURACY & “AS-IS” DISCLAIMER

3.1 “As-Is” Basis. All services and data are provided on an “AS IS” and “AS AVAILABLE” basis without warranties of any kind, either express or implied.

3.2 Accuracy. We do not warrant that property descriptions, pricing, market trends, or analytics are accurate, complete, or current. Data is aggregated from various third-party sources.

3.3 Independent Verification. You are strictly responsible for verifying all information (e.g., square footage, zoning, tax records) with a licensed professional before making any financial commitment.

4. LEAD GENERATION & REFERRAL DISCLOSURE

4.1 Third-Party Routing. By submitting your contact information, you expressly authorize Rikton to share your contact information, inquiry details, and data preferences with our network of Trusted Certified Realtor Partners (“Partner Agents”).

4.2 Consent to Contact. By clicking “Submit,” “Get Started,” or any similar button, you provide your express written consent to be contacted by a Partner Agent via telephone, email, SMS/text message, or automated dialing technology, even if your number is on a State or Federal Do Not Call list.

4.3 No Endorsement. Rikton does not vet the specific legal standing, character, or performance of individual agents. We do not endorse, warrant, or guarantee the services of any Partner Agent.

4.4 Independence of Partners. Partner Agents are independent contractors and are not employees or agents of Rikton. Any professional relationship or transaction you enter into is strictly between you and that agent.

4.5 Fee Disclosure. Rikton does not charge you (the consumer) a fee for this connection. We may receive a marketing or lead-generation fee from the Partner Agent or their brokerage for the advertisement and delivery of your contact information.

5. TELECOMMUNICATIONS & SMS CONSENT

5.1 Automated Communications. You agree that Partner Agents may use automated technology to reach you. Message and data rates may apply.

5.2 Opt-Out. You may opt out of communications at any time by following the “Unsubscribe” or “STOP” instructions provided by the Partner Agent. Rikton is not responsible for a Partner Agent’s failure to honor opt-out requests once the lead has been transferred.

6. PROHIBITED USES

You may not use our data for any of the following:

  • 6.1 Scraping: Automated extraction of data for use in a competing product.

  • 6.2 FCRA Violations: Using our data to determine an individual’s eligibility for credit, insurance, or employment (as defined by the Fair Credit Reporting Act).

  • 6.3 Illegal Marketing: Using our lead data to violate “Do Not Call” registries or anti-spam laws (CAN-SPAM Act).

7. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, RIKTON, ITS OFFICERS, AND EMPLOYEES SHALL NOT BE LIABLE FOR:

  • Any loss of profit, loss of data, or cost of procurement of substitute goods/services.

  • Any indirect, incidental, special, or consequential damages.

  • Errors in calculations, market projections, or “estimated values” provided by our algorithms.

  • CAP ON LIABILITY: IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

8. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Rikton from any claims, damages, or expenses (including legal fees) arising from:

  1. Your breach of these Terms.

  2. Your use or misuse of the data provided.

  3. Your violation of any third-party right, including Fair Housing laws or intellectual property rights.

9. DISPUTE RESOLUTION & ARBITRATION

9.1 Governing Law. These Terms are governed by the laws of the State where Rikton LLC is registered.

9.2 Mandatory Arbitration. You agree that any dispute will be resolved through binding individual arbitration. You hereby waive your right to a jury trial or to participate in a class-action lawsuit.
